Question
On the home inspection contingency, Buyer got their inspection and notice sent within their first inspection window. Seller had a question on one of items and was doing further investigation. Seller's reply window was almost closed, Seller suggested an addendum pausing the timeline on 35R so all parties could get clarity and have time to reach agreement. Buyer was not agreeable. At this point Seller has enough information to know what the cost to fix is but just not the underlying issue. Seller agrees to ALL items requested by the Buyer, HOWEVER Seller is a day past their response window. Seller does deliver 35R before Buyer does anything else. 2 days later Buyer sends notice they want to terminate based on home inspection. Can Buyer do so, or can Seller still respond during Buyer's period if Buyer hasn't made any other moves inside the contract?

Answer
The answer to this question rests on the following language from Form 35, paragraph 6b: "If Seller does not agree to all of the repairs or modifications proposed by Buyer, Buyer shall have _______ days (3 days if not filled in) from either the day Buyer receives Seller’s response or, if Seller fails to timely respond, the day Seller’s response period ends, whichever is earlier, to (i) accept the Seller’s response at which time this contingency shall be satisfied; (ii) agree with the Seller on other remedies; or (iii) disapprove the inspection and terminate the Agreement, in which event, the Earnest Money shall be refunded to Buyer."
Buyer's reply period began, in this case, at 9:01 pm on the third day of seller's response period because seller did not respond within the three days given to seller by the parties' agreed negotiation protocols. Form 35 says that once the negotiation returns to buyer based on seller's failure to respond within seller's agreed response period, buyer can do one of three things. Buyer can accept seller's response, terminate the agreement or reach a different agreement with seller. In this case, if buyer wanted to proceed to closing with seller's agreement, albeit late, to make buyer's requested repairs, buyer could accept seller's response and bind seller to make those repairs. However, buyer also had the option of terminating so long as buyer did so within buyer's three day reply period. That is the reply option buyer chose. Buyer properly terminated the purchase agreement based on buyer's Form 35 inspection contingency.
