Question
I have a buyer under contract for a HUD owned condo. The listing gave a price and monthly HOA dues. We made an offer at the top of buyer's approval level and it was accepted. Weeks into the transaction, we were finally provided HOA info and learned of 30K special assessment from 2 years ago ($28K still owed on 20yr loan). The HOA doc's say assessment is not transferable and sellers must pay off at closing. HUD says they will not pay off the special assessment. My client has no ability to pay it, even if she was willing to pay $28K more. We are looking to cancel the transaction, but I feel my client was cheated out of inspection money, appraisal money and time. Before rescinding, should I advise her to see a lawyer? Is HUD required to sell under the contract terms like any other seller would be? The assessment should be their responsibility, shouldn't it?

Answer
Part of the answer to this question depends upon how the box was marked on the face of Form 21 regarding "Charges and Assessments". If the box was marked "prepaid in full by seller" then seller is contractually obligated to pay the remaining special assessment.
If buyer used forms other than the statewide forms to enter an agreement with this seller, then the Hotline lawyer cannot speak to the requirements of the contract terms. If buyer used forms required by HUD, then this question illustrates the importance of a broker advising their client to seek legal counsel regarding the terms of that agreement BEFORE buyer signs the HUD required purchase agreement. Brokers must recall that they are licensed only to use standardized, lawyer approved forms. In Washington, the statewide forms are consistent with broker's drafting authority. A HUD-provided form is not standardized because it is biased in favor of the seller, HUD.
If any buyer believes that their seller engaged in misrepresentations or committed a breach of contract, broker should advise the buyer to seek legal counsel. Giving this advice now, and prior to buyer signing a non-standardized purchase agreement, is consistent with broker's Agency Law duty to "advise clients to seek the advice of experts in areas that exceed the scope of broker's expertise."
