Question

I am being told that if a seller makes a counter offer on an expired offer (no Form 36 used, just terms changed and initialed) that cannot be accepted by the buyer without changing and initialing the original offer expiration date. I had been under the impression that a counter offer is essentially a new offer with a 2 day expiration from the date it is delivered and the original offer expiration date is irrelevant. Would you please let me know which is correct?

Answer

Broker is correct. Because seller is countering buyer's original offer terms and not simply trying to "accept" buyer's expired offer, there is no reason for listing broker to modify the expiration date of buyer's expired offer. Seller is making a new offer to buyer which is not dependent on buyer's expired offer. It is true that nearly all of seller's offer terms are identical to buyer's original offer terms but because seller is proposing a modification to some of buyer's terms (other than buyer's offer expiration date), seller's offer is a new offer to buyer and the fact that buyer's prior offer has expired is irrelevant. Whether listing broker is drafting seller's counteroffer on a Form 36 or by interlineating counteroffer terms on the face of buyer's offer, the fact that buyer's offer expired is irrelevant BECAUSE seller is counter offering terms other than just buyer's offer expiration date.
