Question
One of our brokers is listing an estate property. The broker's wife, and her sister who is the executrix of the estate, are named in the will as beneficiaries of the estate. In this situation, can the listing broker represent a buyer as a limited dual agent as long as broker discloses he is married to a beneficiary of the estate? Or would it be better for broker to avoid limited dual agency by referring any buyers to another broker?

Answer
Limited dual agency always exposes even the most conscientious broker of risk to claims of self-dealing or breach of loyalty to one of the parties. There is a spectrum of risk based on the facts specific to each transaction. The lower end of the spectrum includes a transaction where broker has no prior relationship and no hope of an ongoing relationship with either party. The opposite end of the spectrum, or the highest risk end of the spectrum, is where broker is one of the parties. On either end of the spectrum, the limited dual agency relationship is lawful if properly disclosed and consented but the extraordinary risk posed by potential allegations of self-dealing and breach of loyalty should be intolerable to nearly every agent on the highest risk end of the spectrum.
This fact pattern, where broker's wife is a beneficiary of the estate that is selling the property, is close to the end of the highest risk end of the spectrum. Broker is not the seller but broker's wife stands to gain financially if seller gets more out of the transaction. If challenged, it would likely be difficult for broker to persuade a judge that based on these facts, broker put buyer's interests on par with seller's interests in the transaction. Broker's actual actions may be irrelevant. It is the mere appearance of a preference for seller that puts broker at risk of allegations of wrongdoing.
