Question
Listing agreement is signed by Seller and Firm. Seller was unable to get the listing ready on time. Agent continued to stay in contact with the Seller on an occasional basis as the property was being update and prepared to list. Then, the listing broker's FIRM closes and she moves to a new firm prior to the listing going live. Seller decides to list with a listing agent from another firm. Did the first listing agreement expire when: 1) Listing date was not met and no form 18 was done to extend that date; and 2) Firm closed and agent moved to a new firm and no forms were signed to move the listing contract to the new firm?

Answer
There was likely some impact associated with the missed listing date but that problem could have been resolved with an amendment to the listing agreement. Closing the firm, however, was fatal to this listing agreement. It is critical to remember that when seller entered the listing agreement, seller's contract was with the firm and not the listing agent. The firm and seller agreed that listing broker would serve as seller's agent but the seller's contract partner was the firm. The firm closed and cannot perform the terms of the listing agreement. Consequently, seller has no ongoing contractual responsibility to fulfill the contract terms. The seller is not liable to a contract that the RE firm cannot and will not fulfill. The fact that the listing broker moved broker's license to a different firm is of no consequence to this question because seller has no contractual obligations to the listing broker or the new firm.
